Terms of Service

These Terms of Service (“Terms”) are a binding agreement between Palmthree LLC (“Orako,” “we,” “us”) and the organization or person using the Orako service (“you,” “Customer”). By creating an account or using the service, you accept these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it.

1. The service

Orako is a human-in-the-loop layer for AI coding agents: it routes an agent’s questions to the members of your organization who own the relevant domain, collects their answers through messaging providers you connect (such as Slack, Microsoft Teams, or Discord) or the Orako dashboard, returns answers to your agent, and stores them in a knowledge base for your organization. The service is intended for business use.

2. Accounts and organizations

You must provide accurate account information and keep credentials (including MCP access tokens) confidential. You are responsible for activity under your account and your organization: the members you invite, the questions your agents send, and the answers your team provides. Admins manage the organization and billing; you are responsible for granting roles appropriately.

3. Trials, plans, and billing

Team plans are billed per seat, in advance, on a monthly basis. New organizations get a 14-day free trial with no credit card required; at the end of the trial, continued use requires a paid plan. You can add or remove seats, upgrade, downgrade, or cancel at any time from the dashboard; changes apply to the next billing period, and fees already paid are non-refundable except where required by law. Prices may change with at least 30 days’ notice. You are responsible for applicable taxes.

4. Self-hosted (Enterprise)

Enterprise deployments run the Orako server in your own infrastructure under a license key. Unless an order form says otherwise, you may not transfer, resell, sublicense, publish, or use a license key to operate a hosted service for third parties.

The Founder Lifetime offer grants the purchasing legal entity a perpetual, non-transferable license for one active production instance, up to 50 distinct users across that instance, with unlimited organizations and projects. Development, test, and staging copies for that same entity are permitted. Future separately priced products, services, and add-ons are not included.

Founder Lifetime purchases include 30 days of reasonable email support for installation and may be refunded within 14 days of purchase. Since the license is verified offline and cannot be remotely revoked, a refunded customer must stop using and delete every copy of the key. After the refund period, fees are non-refundable except where required by law. The right to use versions delivered under the offer remains perpetual. Updates to the purchased self-hosted product are included while we commercially maintain it; the offer does not promise support, compatibility updates, or operation of the product forever.

5. Your content

Questions, answers, knowledge-base entries, and other material submitted by your agents and members (“Customer Content”) belong to you. You grant us the rights needed to operate the service: hosting, processing, routing, displaying, and backing up Customer Content for your organization. We do not use Customer Content to train machine-learning models and we do not sell it. You are responsible for having the rights to what you and your agents submit.

6. Acceptable use

You may not use Orako to violate laws or third-party rights, to send spam or harassing messages, to probe or disrupt the service, to attempt unauthorized access, to resell the service without our agreement, or to build a competing product from it. We may suspend accounts that put the service or others at risk, and will tell you why unless the law prevents it.

7. Third-party services

Connecting a messaging provider (for example Slack, Microsoft Teams, or Discord) is optional and subject to that provider’s own terms. We are not responsible for third-party services, and a provider’s unavailability does not constitute unavailability of Orako; the dashboard remains the fallback delivery channel.

8. Intellectual property and feedback

We retain all rights in the service, including software, design, and documentation. If you send us feedback, we may use it without obligation to you.

9. Disclaimers

The service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Answers stored in your knowledge base are provided by your own team; Orako does not verify their accuracy, and confidence scores are informational only. You remain responsible for decisions made by you or your agents based on answers delivered through the service.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability under these Terms is capped at the amounts you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to either party’s liability that cannot be limited by law.

11. Indemnification

You will defend and indemnify us against third-party claims arising from Customer Content or your use of the service in violation of these Terms or the law.

12. Termination

You may stop using the service and cancel at any time. We may terminate or suspend for material breach that remains uncured 30 days after notice, or immediately for serious violations of Section 6. Upon termination we will, on request made within 30 days, provide an export of your Customer Content, after which we may delete it. Sections that by their nature survive (including 5, 8–11, and 14) survive termination.

13. Changes to the service or these Terms

We may improve or modify the service, and we may update these Terms. For material changes we will give at least 30 days’ notice by email or in the dashboard; continued use after the effective date constitutes acceptance. If you do not agree, cancel before the change takes effect.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws rules. The state and federal courts located in New Mexico have exclusive jurisdiction, and both parties consent to personal jurisdiction there.
